By-LAWS OF
THE So. DAYTONA R/C MODEL YACHT CLUB
The So. Daytona R/C Model Yacht Club will operate under the Constitution and By-Laws of the National organization known as the American Model Yachting Association (AMYA) except when superseded by the following articles. ARTICLE I NAME
The name of this organization is "SOUTH DAYTONA R/C MODEL YACHT CLUB" . This is a model sail yacht organization operating under Sanction #163 of the AMERICAN MODEL YACHTING ASSOCIATION, (AMYA).
ARTICLE II PURPOSES AND OBJECTIVES
The intent of this organization is to promote R/C model sail yacht racing in the Daytona area, and In so far as possible, to aid the advance of R/C model sail yacht racing in the United States. All enterprises of this organization will conform to the policies and the Constitution of AMYA except those that may be preempted by these articles and by-laws. This organization will also conform to the policies and laws of the Federal Communications Commission (FCC) as applicable.
ARTICLE III MEMBERSHIP
SECTION 1 REQUIREMENTS: Any Florida resident, permanent or temporary, may make application for membership providing the qualifications set forth in these By-Laws are met.
SECTION 2 QUALIFICATIONS: An applicant must have a desire and interest in model yacht sailing, and be willing to uphold the rules and by-laws of the organization.
SECTION 3 MEMBERSHIP CLASSIFICATION: (a) ACTIVE MEMBER: A member shall be 18 years of age or older. Active members shall have the right to vote and to hold office if dues are paid up to date. (b) ASSOCIATE MEMBER: An associate membership may be extended to persons, business organizations, etc. who are interested in the promotion of R/C Yachting activities. Applicants approval may be granted by a majority vote of the Board of Directors. Associate members have same privileges as active members, but can not vote or hold office. (c) LIFE MEMBERSHIP: Life membership will be granted any member upon payment of $100.00, a life member will not be subject to any dues increase, but would be subject to any special assessment.
SECTION 4 ADMISSIONS: An initiation fee of $10.00 shall be submitted by each new membership applicant. Annual dues shall be $15.00, payable in full December 1st., except that new members joining after July 1st., but before October 1st., shall pay $7.50 for the balance of the year. New members joining after October 1st. but before December 1st., shall pay $15.00, this will also be his/her dues for the following year. (a) ASSOCIATE MEMBERS: Associate members will be notified by letter as ordered by the Commodore. (b) ASSESSMENTS SPECIAL: Any assessment for the general fund shall be voted on by the membership after notification of a special called meeting, for the purpose of voting. The membership will be notified no less then 30 days prior to the special meeting., a 2/3 majority vote of members attending the meeting will be required to pass. The only business to be conducted at the meeting shall be that of the special assessment only. The notification will contain the time, date, place and the purpose of the special assessment. Any new member joining the organization in the year of a special assessment will be required to pay that assessment with his/her dues upon joining. Assessments are non refundable.
SECTION 5 ACKNOWLEDGMENT: The new member will be put on the roster and issued his/her channel number upon receipt of all moneys due the organization.
SECTION 6 DELINQUENT MEMBER: A member becomes delinquent 45 days from date dues are due, resulting in the loss of his/her radio channel number., he/she will be removed from the roster at that time.

SECTION 7 REINSTATEMENT: A delinquent member that has been delinquent for more then 45 days must reapply as if he/she were a new member, a delinquent member may be reinstated upon payment of his/her dues, and any other assessments that may be due. ARTICLE IV OFFICERS
SECTION 1 OFFICERS: The elected officers of the Yacht Club shall be Commodore, Vice Commodore, Secretary and Treasurer. The Commodore will appoint the following officers, 36/600 Fleet Captain and Soling Fleet Captain. In the event there are additional fleets organized he/she shall appoint a Fleet Captain for that Fleet. AMYA liaison will be the Secretary. All elected officers must hold membership in AMYA.
SECTION 2 TERM LIMITS: Term of Commodore not to exceed two consecutive years.
SECTION 3 VACATED OFFICE: In the event the office of Commodore is vacated, the Vice Commodore shall advance to COMMODORE. Other vacated positions shall be filled by special elections.
SECTION 4 BOARD OF DIRECTORS: The Board of Directors shall consist of five Directors, four being the four elected officers, the fifth shall be the immediate Past Commodore. In the event the Immediate Past Commodore holds an elected office the Commodore will appoint a fifth Director.
ARTICLE V ELECTIONS
SECTION 1 ANNUAL ELECTIONS: The annual election shall be held during the regular meeting of the organization in December of each year. Membership dues for the following year must be paid to be eligible to vote.
SECTION 2 NOMINATIONS AND PROCEDURE: Nominations will take place from the floor after the close of the regular monthly business meeting. Nominations and election will begin with Commodore. Nominations and election of Vice Commodore. Nominations and election of Secretary. Finally nominations and election of Treasurer.
SECTION 3 RESULTS: The results of the election shall be announced immediately and all Club properties shall be transferred to the appropriate newly elected officers immediately following the December meeting. Prior to transfer of financial records and the funds, an audit shall be performed by a committee appointed by the newly elected Commodore and the results presented to the membership for discussion and resolution of possible discrepancies.
ARTICLE VI DUTIES OF OFFICERS
SECTION 1 COMMODORE: The Commodore shall preside at all meetings and appoint and prescribe duties of Fleet Captains and any committees deemed necessary to carry out Club functions.
SECTION 2 VICE-COMMODORE: The Vice Commodore shall carry out all duties of the Commodore in his/her absence. The Vice Commodore shall be Vice Chairman on all standing committees and Ad Hoc committees.
SECTION 3 SECRETARY: The secretary shall keep the minutes of all meetings and attend to all Club correspondence. He/she shall keep an attendance record of members at each meeting, and shall notify those members delinquent in their dues. Records of all minutes shall be maintained and minutes of the previous meeting shall be reported at each subsequent meeting. Minutes shall be available for Club Newsletters, if provided. A vote by the membership may restrict publication of specific items and issues in a newsletter.
SECTION 4 TREASURER: The Treasurer shall keep all financial records and receive all funds, maintain the Club bank account and sign all disbursements. He/she shall furnish a monthly financial report. He/she shall notify the Secretary of all dues delinquencies. (A) Specific disbursement of funds exceeding $25.00 shall be approved by a simple majority vote of the Board Of Directors.

ARTICLE VII MEETINGS
A regular meeting shall be held each month. The Commodore may call a special meeting by prior notification of the membership. The Secretary shall notify all members of the time, place and agenda of all special called meetings. Lack of advance notification shall not nullify any procedures conducted at any meeting where a quorum vote is met, of the members present at the meeting.
ARTICLE VIII OFFICIAL PUBLICATION
The name of the official publication shall be "THE MAIN SHEET" it will be published quarterly unless directed otherwise by the Commodore. The Editor shall be appointed by the Commodore.
ARTICLE IX QUORUM
A quorum shall consist of a simple quorum of all active members. However, all business except special assessment approval and by-law amendment may be conducted by a simple quorum of active members present at a specific meeting.
ARTICLE X PARLIAMENTARY AUTHORITY
The rules of parliamentary practice set forth in "ROBERTS RULES OF ORDER" shall govern all proceedings of this organization, subject to any special rules which have been or may be hereinafter adopted.
ARTICLE XI BY-LAW AMENDMENT
The by-laws may be amended by two-thirds vote of active members present at any meeting which has been called for that purpose. The proposed amendment(s) shall be submitted to the membership in writing at the previous regular meeting.
